SFA Licence Transfer: What F&B Buyers Need to Know

An SFA food shop licence does not transfer when an F&B business changes hands in Singapore. The outgoing operator cancels their licence, and the incoming operator applies fresh through the GoBusiness portal at S$195 per year. You cannot legally prepare or sell food until your own licence is approved and paid for, which means the application timeline directly controls when you can start trading. This guide covers the full process, from application to first day of service.
The licence belongs to the operator, not the premises. When the operator changes, the licence starts over.

Why the licence does not transfer
The SFA food shop licence is issued to a specific operator at a specific premises. It is not a property right that travels with the unit. When a business changes hands and the operating entity's UEN changes, SFA requires a new application from the incoming operator. There is no shortcut, no expedited transfer form, and no way to inherit the outgoing licence.
This catches buyers who assume they can start trading the day after handover. There is always a gap between taking over the keys and having a valid licence in your name. Planning for that gap is one of the most important things an F&B buyer can do.
Food shop licence versus food stall licence
SFA issues two main types of food retail licence, and buyers sometimes apply for the wrong one.
A food shop licence covers standalone premises: restaurants, cafes, bakeries, takeaway shops, and any unit where you control the entire space. A food stall licence covers an individual stall within a coffeeshop, food court, canteen, or hawker centre, where a main operator holds the premises licence and you operate one unit inside it.
Most takeover buyers looking at a stall in a coffeeshop or food court need the food stall licence. Buyers taking over a standalone cafe, restaurant, or bakery need the food shop licence. Check which type the outgoing operator held before you start your application, because the requirements differ.
The application process, step by step

Apply on GoBusiness
Log in to the GoBusiness Licensing portal using your company's CorpPass. If you are a sole proprietor, SingPass works. Submit the application with your signed tenancy agreement, the IRAS Certificate of Stamp Duty for that tenancy, and a scaled layout plan showing the kitchen, preparation areas, service counter, and wash points with dimensions.
Incomplete applications are the most common cause of delay. If any required document is missing, SFA will issue a Request for Additional information and the clock pauses until you respond. Prepare every document before you hit submit.
Receive the In-Principle Approval
A complete application typically receives the IPA within seven working days. The IPA letter lists the specific licensing requirements your premises must meet before final approval. Read it carefully. It tells you exactly what SFA will inspect for.
Complete any fit-out work
If the premises needs renovation or equipment changes to meet the IPA requirements, do that work now. The pre-licensing inspection will check against the IPA conditions, so anything flagged there must be resolved before you book the inspection.
Pass the pre-licensing inspection
Once the premises is ready, book the pre-licensing inspection through SFA's portal at least five working days in advance. The inspection may be conducted virtually or via a submission of photos, depending on the application. SFA checks that the layout, equipment, and hygiene provisions match what was approved in the IPA.
Pay and receive the licence
After passing the inspection, SFA issues a payment notification. Pay the S$195 annual fee within 28 days, or the application lapses and you start over. Once payment clears, the licence is active and you can start trading. You can print your own licence from the GoBusiness portal.

How to manage the gap between handover and licence
The gap between taking over the premises and having a valid licence is the part most buyers underestimate. You are paying rent from handover day, but you cannot earn revenue until the licence clears. Two things shorten that gap.
Start the application as early as the tenancy agreement allows. Some buyers wait until after handover to apply, which adds weeks of dead rent. If you have a signed tenancy and the stamp duty certificate, you can submit the application before the handover date.
Keep the existing fit-out intact if it already meets SFA requirements. A premises that the outgoing operator was already licensed in usually passes inspection without major changes, which removes the renovation step and lets you move straight from IPA to inspection.
What happens to the outgoing licence
The outgoing operator should cancel their licence at the point of cessation through GoBusiness. There is no fee for cancellation and it processes immediately. The outgoing operator remains responsible for the premises until the licence is officially cancelled, so both parties should agree on timing.
If the outgoing operator does not cancel promptly and you have not yet received your own licence, neither party has a valid operating licence at the premises. Coordinate the handover so there is no period where the unit is trading without any valid licence at all.

Frequently asked questions
Does an SFA licence transfer when a business changes hands?
No. The SFA food shop licence is tied to the operator, not the premises. When an F&B business changes hands, the outgoing operator cancels their licence and the incoming operator submits a fresh application through GoBusiness in their own name.
How much does an SFA food shop licence cost?
The licence fee is S$195 per year. The application is submitted through the GoBusiness portal. There is no separate application fee beyond the annual licence cost.
How long does it take to get an SFA food shop licence?
The In-Principle Approval typically arrives within seven working days of a complete application. After that, the timeline depends on how quickly you complete any fit-out work and pass the pre-licensing inspection. The full process from application to trading can take two to six weeks.
Can I start trading before the SFA licence is approved?
No. You cannot legally prepare or sell food until your own food shop licence has been approved and you have made payment. Operating without a valid licence is an offence under the Environmental Public Health Act.
What documents do I need to apply for the SFA licence?
You need a signed tenancy agreement with the IRAS Certificate of Stamp Duty, a scaled layout plan showing the kitchen and service areas with dimensions, your company's CorpPass credentials, and details of your cleaning programme and pest control contract.
What is the difference between a food shop licence and a food stall licence?
A food shop licence covers standalone premises such as restaurants, cafes, bakeries, and takeaway shops. A food stall licence covers individual stalls within a coffeeshop, food court, canteen, or hawker centre. Most takeover buyers need the stall licence if they are buying a unit inside a larger food establishment, and the shop licence if the premises is a standalone unit.
