Can You Take Over an HDB Shop Tenancy in Singapore?

Usually you cannot take over an HDB-tenanted shop’s tenancy in Singapore. Under HDB’s Change of Trade Terms & Conditions (revised 22 January 2025), assignment of tenancy has not been permitted with effect from 16 October 2013. A tenant who wants to exit returns the premises to HDB for re-tender. That is different from buying a sold (owned) HDB shop with HDB’s written consent, becoming an approved subtenant of part of the trading area, or taking over a stall whose landlord is a private coffeeshop or mall operator rather than HDB.
If a listing says “HDB shop takeover,” ask which path applies before you pay a deposit. This page is general information from HDB’s published terms and GoBusiness guidance as of October 2026, not legal advice — confirm with HDB, GoBusiness, and your lawyer for your unit.
What kind of HDB shop is it — tenanted or sold?
HDB commercial premises fall into two buyer-relevant buckets:
- Tenanted HDB shops. The operator rents from HDB under HDB’s commercial tenancy terms, including the Change of Trade (COT) Terms & Conditions. Assignment of that tenancy is not permitted under the rules effective 16 October 2013.
- Sold (owned) HDB shops. An owner holds the shop and needs HDB’s written consent for Resale / Transfer through GoBusiness. That is a property transfer path, not a tenancy assignment.
Ask for proof: HDB tenancy agreement, or title / ownership documents for a sold shop. Do not rely on a claim that “HDB will allow the takeover.” For broader buying steps, see how to buy a business in Singapore; sellers can start with how to sell a business in Singapore.
Why can’t I take over an HDB shop tenancy?
HDB’s COT Terms & Conditions state that, with effect from 16 October 2013, assignment of tenancy is not permitted. Tenants who wish to terminate must return the premises to HDB for re-tender. For tenancies commencing on or after that date, that return-and-re-tender path is set out in the terms (clause 2.3.2).
A limited extension once applied to long-time tenants who had been with HDB for 15 years or more as of 16 October 2013, but only until 15 October 2019. That window has closed.
In practice you generally cannot step into the existing HDB tenancy the way you might assign a private lease. When the tenant leaves, HDB re-tenders the unit. Paying for goodwill or fit-out does not create a right to remain as HDB’s tenant if assignment is not allowed.
Trades must be HDB-approved; storage, wholesale, and industrial use are not permitted. Sale of liquor is strictly not permitted in standalone HDB void deck shops, kiosks, and Civil Defence Shelters for new tenancies, including takeovers of those premises. Living quarters, where present, are for residential use only. Related applications go through GoBusiness — check the live forms rather than a seller’s summary.
Does buying the seller’s company shares get around the rule?
Usually no. HDB treats a substantial change in control or composition of the tenant — for example shareholding — as an assignment, which is not permitted outside the closed historical window.
If the original sole proprietor, partners, or shareholders as at commencement of the tenancy, and/or their next-of-kin, retain less than 51% of the shares, that is a substantial change of control and is not permitted. If they retain at least 51%, the change is not treated as a change of control for that assignment test, but HDB’s prior written consent is still required for the change itself (clause 2.1.1).
A share sale is therefore not a reliable workaround for buyers who want majority control of an HDB-tenanted shop. Structure still matters for other deals — see asset sale vs share sale — but do not assume a share purchase alone puts you into a non-assignable HDB tenancy.
Can I become a subtenant of an HDB shop instead?
Subletting is tightly limited and is not the same as assignment. HDB’s prior written approval is required for any inclusion or change of subtenant, and for any change of the subtenant’s trade. The tenant may rent out not more than 50% of the total trading area to only one subtenant. From 16 October 2013, tenants who previously had more than one subtenant may retain only one upon any change.
You might operate as an approved subtenant of part of the shop, not as HDB’s direct tenant. If the main tenancy ends and the unit is re-tendered, your subtenancy does not become an HDB tenancy by default. Never pay a deposit for a “sublet takeover” until you see HDB’s written approval, or a contract that completion waits on that approval.
What if the HDB shop is sold (owned), not tenanted?
Sold HDB shops follow a resale / transfer path, not the COT assignment ban. Owners need HDB’s written consent for Resale / Transfer. The online application is normally submitted by the transferors’ solicitors (or the transferees’ solicitor if the parties agree). Buyers must be at least 21. Undischarged bankrupts need Official Assignee consent.
Concurrent ownership restrictions also apply. A person generally cannot concurrently own (a) an HDB flat within its Minimum Occupation Period (MOP) plus any HDB shop with Living Quarters, or (b) a subsidised HDB flat within MOP plus more than one HDB shop without Living Quarters. Those rules also reach companies owned by individuals listed as applicants, owners, or occupiers of such flats — verify on HDB and GoBusiness.
HDB has said processing can take at least four weeks after documents and payment are received; treat that as HDB’s published expectation. Lodgement and application fees apply via GoBusiness — check the current fee table. This resale/transfer framework is not applicable to units in HDB shopping or office complexes managed by managing agents.
How is a private coffeeshop or mall shop different?
Many coffeeshop-stall and mall F&B takeovers are not HDB tenancies. Assignment depends on that private landlord’s lease, not on HDB’s COT assignment ban. Read the tenancy for remaining term, renewal options, assignment and subletting clauses, and what the landlord needs from an incoming operator.
For F&B checks, see F&B business takeover FAQs and browse F&B businesses for sale. Retail buyers can also scan retail listings and the full marketplace listings.
What should buyers check before paying a takeover deposit?
Use this short list before money leaves your account:
- Premise type. HDB-tenanted, HDB sold shop, or private landlord stall? Get documents, not verbal labels.
- What is actually for sale. Fit-out and equipment only? Goodwill? Company shares? A subtenancy interest? An owned shop?
- Consent path. Tenanted HDB: assignment is generally not available — plan for re-tender or a compliant sublet approval. Sold HDB: Resale / Transfer via GoBusiness. Private lease: assignment consent under that lease.
- Deposit conditions. Make any deposit refundable if required consents are refused, in writing.
- Licences. SFA food licences are non-transferable; an incoming F&B operator applies fresh. See SFA licence transfer in Singapore.
- Handover plan. Keys, stock count, suppliers, and staff should be listed before completion. Use the business handover process in Singapore as a checklist.
SG Business Mart is a marketplace with paid listings, not a broker. Sellers pay a one-time listing fee (see pricing: Basic S$49 for 30 days, Standard S$79 for 60 days, Premium S$99 for 180 days). The pricing page states there is no monthly subscription and no commission or success fee when a business sells. Browse live listings, or list on /sell if you are exiting.
Frequently asked questions
Can I take over an HDB shop tenancy in Singapore?
Usually no. HDB’s Change of Trade Terms & Conditions say that, with effect from 16 October 2013, assignment of tenancy is not permitted. A tenant who wants to leave returns the premises to HDB for re-tender. Sold (owned) HDB shops and private-landlord stalls follow different rules.
What happens when an HDB-tenanted shop operator wants to exit?
Under the COT terms applicable to tenancies on or after 16 October 2013, tenants who wish to terminate return the premises to HDB for re-tender. Interested operators then compete under HDB’s re-tender process rather than stepping into the outgoing tenant’s lease.
Does buying the tenant company’s shares get around the assignment ban?
Not if it creates a substantial change of control. HDB treats a substantial change in shareholding or composition as an assignment. If the original proprietor, partners, or shareholders as at commencement of tenancy and/or their next-of-kin retain less than 51% of the shares, that change is not permitted. Even where they retain at least 51%, HDB’s prior written consent is still required for partner or shareholder changes.
Can I become a subtenant in an HDB shop?
Only with HDB’s prior written approval. The main tenant may rent out not more than 50% of the total trading area to only one subtenant, and any inclusion or change of subtenant or trade needs HDB approval. From 16 October 2013, tenants who previously had more than one subtenant may retain only one upon any change.
How do I buy a sold (owned) HDB shop?
You need HDB’s written consent for Resale / Transfer via GoBusiness. The online application is normally filed by the transferors’ solicitors (or the transferees’ solicitor if both sides agree). Buyers must be at least 21; undischarged bankrupts need Official Assignee consent. Concurrent ownership restrictions with HDB flats within MOP also apply. HDB has said processing can take at least four weeks after documents and payment are received.
Do HDB assignment rules apply to private coffeeshop or mall stalls?
No. Private coffeeshop, food-court, and mall units are governed by that landlord’s lease, not by HDB’s COT assignment ban for HDB-tenanted shops. Always read the actual lease and obtain that landlord’s written consent where required.
Are SFA food licences transferable on an F&B shop takeover?
No. SFA food licences are non-transferable. The incoming operator must apply for a new licence and should not assume they can trade under the seller’s licence. See SG Business Mart’s guide to SFA licence transfer in Singapore for the buyer-facing steps.
What should I confirm before paying a deposit on an HDB-related takeover?
Confirm whether the unit is HDB-tenanted, an HDB sold shop, or a private lease; what rights are actually being sold; which HDB or landlord consents are required; and that any deposit is refundable if consent is refused. For F&B, also plan a fresh SFA licence application. When unsure, check HDB, GoBusiness, and a Singapore lawyer before you pay.
